1.Introduction

Welcome to spanishgrows.com, operated by Spanish Grows LLC ("Spanish Grows", "we", "us", or "our"), a limited liability company organized under the laws of the State of New Mexico, United States.

Spanish Grows provides online Spanish-language educational services, primarily to students residing in Hong Kong, including children and teenagers between approximately 6 and 17 years of age.

These Terms & Conditions ("Terms") govern the use of our website and the purchase and use of our educational services.

By requesting a trial class, enrolling a student, purchasing our services, or otherwise using our services, the Parent or Legal Guardian acknowledges that they have read and understood these Terms.

Where the student is a minor, the Parent or Legal Guardian is responsible for agreeing to these Terms on behalf of the student and for ensuring that the information provided to Spanish Grows is accurate.

2.Our Educational Services

Spanish Grows offers online Spanish-language education, including:

Classes are generally conducted online.

Standard classes are generally 40 minutes in duration. Certain specialized classes, including DELE preparation classes, may be 60 minutes.

Group classes may include a maximum of four students, unless otherwise specified.

Spanish Grows reserves the right to determine the appropriate class structure, teacher, level and group placement based on the student's age, level, objectives and educational needs.

3.Trial / Demo Classes

Spanish Grows may offer a free trial or demonstration class.

The purpose of the trial class is to:

Where appropriate, a student may participate in more than one trial class at no cost while Spanish Grows seeks to identify an appropriate teacher or educational arrangement.

Trial classes may be cancelled or rescheduled without charge.

Spanish Grows does not guarantee that a particular teacher will ultimately be assigned to the student.

4.Teachers

Spanish Grows works with teachers who provide their services as independent freelancers or contractors.

Teachers are selected by Spanish Grows based on factors including:

Spanish Grows determines which teacher is assigned to each student.

Spanish Grows may change a student's teacher at any time when reasonably necessary or appropriate under its internal policies.

Parents and students will be informed when a teacher is changed.

5.Educational Level and Learning Objectives

Spanish Grows structures its educational programmes according to recognized Spanish-language proficiency levels, including levels based on the Common European Framework of Reference for Languages (CEFR/MCER).

A programme may be designed to help a student progress toward a particular sublevel, such as:

The recommended educational pathway may consist of 60 classes.

Completion of 60 classes does not constitute a guarantee that the student will achieve a particular level in every case. Progress depends on factors including attendance, participation, previous knowledge, learning ability, practice and individual circumstances.

Where appropriate, Spanish Grows may recommend additional classes or continuation with another package after completion of the initial educational pathway.

6.The 60-Class Programme

The standard educational pathway offered by Spanish Grows consists of 60 classes.

The programme is structured around approximately one class per week.

The 60 classes do not expire.

The 60-class programme represents the educational pathway recommended by Spanish Grows for progressing through the relevant level.

However, the Parent is not contractually required to complete all 60 classes.

The Parent may discontinue the service at any time.

The monthly payment arrangement described below does not create a contractual obligation to remain enrolled until all 60 classes have been completed.

7.Monthly Payments and Subscription

The 60-class programme is paid through monthly automatic payments.

Payments are processed by Stripe using a debit or credit card.

Prices are displayed and charged in Hong Kong Dollars (HKD) unless expressly stated otherwise.

The monthly subscription continues until:

The monthly payment arrangement is an administrative payment method for the educational programme and does not require the Parent to complete all 60 classes.

8.Cancellation of the Programme

The Parent may cancel the student's enrolment at any time.

No contractual commitment exists requiring the Parent to complete the full 60-class programme.

If the Parent cancels before all 60 classes have been completed, the remaining unused classes may be subject to the refund provisions described below.

9.Refunds Following Cancellation

Spanish Grows generally does not provide refunds for completed classes or unused classes where the circumstances do not qualify for a refund under these Terms.

Where the Parent cancels the programme and a refund is applicable, Spanish Grows may calculate the refund based on the value of the unused classes, less a 20% administrative fee.

For example, if the student has completed 12 classes from a 60-class programme and the Parent cancels, the remaining 48 classes may be eligible for a refund, less the applicable 20% administrative fee.

The exact refund amount may also take into account payments already processed, classes delivered, credits previously granted and other applicable adjustments.

10.Class Cancellation and Rescheduling

A student may reschedule a class without charge when the Parent provides at least 24 hours' notice.

Where the student provides at least 24 hours' notice, the class may be rescheduled without penalty, subject to teacher availability.

11.Late Cancellation

If a student cancels or requests a rescheduling with less than 24 hours' notice, the class may be rescheduled once.

An exception may be made in the case of a genuine emergency that is reasonably justified.

The late-cancellation allowance is renewed each calendar month.

If the student fails to provide at least 24 hours' notice for a second time during the same month, the corresponding class will be considered used and will be charged without the right to reschedule or receive a replacement class.

The count resets at the beginning of each month.

12.Student Late Arrival

Teachers will wait a maximum of 10 minutes for a student to join the scheduled class.

If the student joins after the scheduled start time but within the 10-minute waiting period, the class will continue until the originally scheduled end time.

The class will not be extended to compensate for the student's late arrival.

For example, if a 40-minute class begins at 5:00 p.m. and the student joins at 5:10 p.m., the class will end at 5:40 p.m. and will therefore last 30 minutes.

13.Student No-Show

If the student does not join the class within the 10-minute waiting period, the teacher may close the session.

The first such occurrence in a calendar month may be handled as a rescheduling opportunity.

If the student fails to attend a second time during the same month without appropriate prior notice, the class will be considered delivered and will be charged.

The no-show count resets at the beginning of each month.

Spanish Grows may make reasonable exceptions in cases of genuine emergencies.

14.Teacher or Spanish Grows Cancellation

If Spanish Grows or the assigned teacher needs to cancel a class, Spanish Grows will make reasonable efforts to:

15.Communication With Parents and Students

Spanish Grows uses designated communication channels to coordinate educational services.

16.Daily Teacher Reports

Teachers may provide a daily or class-related report concerning the student's learning.

The communication channels are intended for educational and administrative purposes and should not be considered a substitute for emergency services or immediate personal assistance.

17.Microsoft Teams

Microsoft Teams is used for online classes and educational communication.

The Parent and/or student may be invited to participate as a guest in the relevant Microsoft Teams environment.

The student's Microsoft account is not managed by Spanish Grows.

The Parent or student is responsible for maintaining access to the relevant Microsoft account.

Teams may provide access to:

Outside the live meeting, the designated Teams channel will generally be used for communication between the teacher and student/Parent.

The live meeting chat may be used during the class.

Spanish Grows management may have access to the relevant Teams environment and may review interactions for quality-control, safeguarding and administrative purposes.

18.Class Recordings

Spanish Grows may monitor relevant communications, class recordings and educational interactions for safeguarding and quality-control purposes.

Where Spanish Grows identifies conduct that may pose a risk to a student, it may take appropriate action, including changing a teacher, suspending an account or terminating services.

21.Code of Conduct

Students, Parents and teachers are expected to behave respectfully.

Spanish Grows may suspend or terminate services where a user engages in:

22.Intellectual Property

Student progress depends on individual circumstances, including attendance, participation, practice, previous knowledge, learning ability and other factors.

26.Limitation of Liability

The services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

29.Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the State of New Mexico, United States, without giving effect to conflict-of-law principles.

Any dispute arising from these Terms or the services shall, to the extent permitted by applicable law, be subject to the jurisdiction of the competent courts of the State of New Mexico.

Nothing in this section is intended to deprive a consumer or data subject of mandatory rights or protections that cannot legally be excluded under applicable law.
